Terms of Use

Amma – The Virtual Pharmacist Assistant

Version 1.0 and higher | Effective Date: 1st May 2025

1. ELIGIBILITY AND ACCESS

1.1. The Service is intended for use by individuals aged eighteen (18) years and above. Use by minors is permissible only under the direct supervision of a parent or legal guardian who consents to be bound by these Terms on their behalf.

1.2. The User represents and warrants that they possess the legal capacity to enter into this agreement and are not barred under any applicable laws from using the Service.

2. NATURE AND SCOPE OF SERVICE

2.1. Amma is a digital health tool powered by artificial intelligence designed to provide general information regarding pharmaceutical products, health education, and medication-related guidance. It shall not, and does not purport to:

  - Provide a medical diagnosis;

  - Substitute a consultation with a licensed medical practitioner;

  - Offer emergency medical care or intervention.

2.2. The User acknowledges that Amma’s outputs are generated based on programmed algorithms and public or vetted medical content and do not constitute professional healthcare advice.

3. RESTRICTIONS ON USE

3.1. The User shall not:

  a. Use the Service in contravention of any applicable law, regulation, or directive;

  b. Rely solely on the Service for decision-making concerning the diagnosis or treatment of any illness;

  c. Input or disseminate unlawful, defamatory, abusive, or misleading content through the Service;

  d. Attempt to reverse engineer, tamper with, disable, or disrupt the Service or its associated infrastructure;

  e. Use the Service for any commercial exploitation or resale.

3.2. Aide Chemists reserves the right to restrict or terminate the User’s access to the Service in the event of a breach of these Terms.

4. NO EMERGENCY SERVICES

4.1. The Service does not provide emergency response or crisis intervention. In the event of a medical emergency, the User is advised to contact the Ghana Emergency Services by dialling 112 or presenting at the nearest hospital or clinic.

5. PRIVACY AND DATA PROTECTION

5.1. The collection and processing of personal data in connection with the use of Amma shall be in accordance with the Data Protection Act, 2012 (Act 843) and our published Privacy Policy, which is incorporated herein by reference.

5.2. Aide Chemists does not collect personally identifiable information such as names, contact details, or health records without explicit consent. We may, however, collect anonymized interaction data for the sole purpose of service improvement, audit, and compliance.

5.3. Users retain the right to request deletion of data generated during use, subject to applicable legal and operational constraints.

6. INTELLECTUAL PROPERTY

6.1. All rights, title, and interest in and to the Service, including but not limited to its design, algorithms, branding, prompts, textual content, audio-visual materials, and underlying software, are the exclusive property of Aide Chemists Limited or its licensors.

6.2. Nothing contained herein shall be construed as granting the User any licence or right to reproduce, modify, distribute, or commercially exploit any part of the Service without the prior written consent of Aide Chemists.

7. DISCLAIMER OF WARRANTIES

7.1. The Service is provided on an “as-is”, “as-available” basis without warranties or representations of any kind, whether express or implied.

7.2. Aide Chemists disclaims, to the fullest extent permissible by law, all warranties including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or availability.

8. LIMITATION OF LIABILITY

8.1. To the fullest extent permitted by law, Aide Chemists shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages arising out of or in connection with the use or misuse of the Service, including without limitation:

  a. Reliance on information generated by the Service;

  b. Any delay or failure in seeking proper medical care;

  c. Technical failures or interruptions in Service availability;

  d. Unauthorized access to data or transmissions.

9. INDEMNITY

9.1. The User agrees to indemnify, defend, and hold harmless Aide Chemists, its officers, employees, agents, and affiliates from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including legal fees) arising out of or in connection with:

  a. Breach of these Terms;

  b. Misuse of the Service;

  c. Violation of applicable laws or the rights of any third party.

10. TERMINATION

10.1. Aide Chemists reserves the right to suspend, restrict, or permanently terminate a User’s access to the Service without prior notice, where such User is found to be in material breach of these Terms.

11. MODIFICATION OF TERMS

11.1. Aide Chemists may, at its sole discretion, amend these Terms from time to time. Any such amendments shall become effective upon publication on our official website, and continued use of the Service shall constitute acceptance of the modified Terms.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana.

12.2. In the event of any dispute or claim arising out of or in connection with the use of the Service, the parties shall first endeavour to resolve the matter amicably through mediation under the auspices of the Ghana ADR Centre.

12.3. Failing amicable resolution, either party may refer the dispute to the appropriate court of competent jurisdiction in Ghana.

13. SEVERABILITY

13.1. If any provision of these Terms is determined to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be severed from the Terms, and the remaining provisions shall remain in full force and effect.

14. ENTIRE AGREEMENT

14.1. These Terms, together with the Privacy Policy and any other legal notices published by Aide Chemists in connection with the Service, constitute the entire agreement between the parties and supersede all prior agreements, whether oral or written.
